02Definitions

• "Operator" or "Client" means a proprietary trading firm, broker, or other business entity that licenses or otherwise uses the Platform to provide trading-related services to its own users, under a separate commercial agreement with OnlyTrade.
• "End Trader" means an individual who accesses a trading interface powered by the Platform through an Operator. End Traders are clients of the Operator, not of OnlyTrade.
• "Commercial Agreement"means the separate written agreement (for example, a master services agreement, licence, or order form) between OnlyTrade and an Operator that governs the Operator's access to and use of the Platform.
• "User", "you", or "your" means any person who accesses the Website or the Platform, including representatives of Operators and prospective Clients.
• "Content" means all information, interfaces, tools, data, text, graphics, and other material made available through the Website or the Platform.

03Scope of These Terms

These Terms govern your use of the Website and your general access to the Platform. They do not, by themselves, grant any right to use the Platform commercially.

Commercial access to and use of the Platform by an Operator is governed by the relevant Commercial Agreement. If there is any conflict between these Terms and a Commercial Agreement in respect of an Operator's use of the Platform, the Commercial Agreement prevails for that Operator.

04Nature of the Service

OnlyTrade provides trading technology — including platform software, terminal interfaces, administrative and management tools, risk-management components, and related infrastructure — that Operators use to deliver their own trading services to their End Traders.

Any trades, accounts, balances, or market interactions made available through an interface powered by the Platform are provided, operated, and controlled by the relevant Operator under its own regulatory framework and applicable licences, and not by OnlyTrade. Demonstration interfaces, sample data, and illustrative figures shown on the Website are for demonstration purposes only and do not reflect live trading conditions.

05What OnlyTrade Does Not Do

For the avoidance of doubt, OnlyTrade:

1. is not a broker, dealer, exchange, marketplace, clearinghouse, investment adviser, or financial intermediary;
2. does not hold, manage, receive, or transfer client funds;
3. does not open, control, or operate live trading accounts;
4. does not execute trades, set prices, or determine execution policies;
5. does not provide financial, investment, trading, legal, or tax advice; and
6. does not solicit, offer, or recommend any financial instrument or investment.

Nothing on the Website or Platform should be construed as financial advice or a recommendation. Any person who requires guidance on financial products or the risks of trading should consult a licensed financial service provider.

06Platform Operators' Responsibilities

Each Operator is solely responsible, in respect of its own End Traders and trading services, for all regulated and operational matters, including without limitation:

• its own regulatory status, authorisations, and licences;
• execution of orders, pricing, and best-execution obligations;
• holding and safeguarding of client funds, deposits, and withdrawals;
• client onboarding, identity verification, classification, and KYC/AML obligations;
• the terms, disclosures, and risk warnings provided to its End Traders; and
• compliance with all laws and regulations applicable to its activities and jurisdictions.

OnlyTrade acts only as a technology provider and has no responsibility for, or control over, the matters listed above.

07Eligibility & Acceptable Use

You must be at least 18 years old and have the legal capacity and authority to enter into these Terms, including on behalf of any organisation you represent. You agree not to:

• use the Website or Platform for any unlawful, fraudulent, or harmful purpose, or in breach of any applicable law or regulation;
• copy, modify, distribute, or create derivative works of the Website, Platform, or any Content, except as expressly permitted;
• reverse engineer, decompile, or attempt to derive the source code or underlying logic of the Platform, including any proprietary risk engine or analytical components;
• scrape, harvest, or extract data by automated means, or interfere with the security, integrity, or availability of the Website or Platform; or
• access the Website or Platform from, or on behalf of any person in, a jurisdiction where such access would be unlawful.

08Access & Accounts

Certain areas of the Platform, such as administrative or operator-facing panels, are restricted and require credentials issued under a Commercial Agreement. You are responsible for keeping your credentials confidential and for all activity carried out under them. You must notify us promptly of any unauthorised use. We may suspend or restrict access where we reasonably believe these Terms or a Commercial Agreement have been breached, or where required for security, maintenance, or legal reasons.

09Third-Party Services & Market Data

The Platform integrates third-party services and data, including charting technology from TradingView, market data from Finnhub, and back-office technology from DashProp. Such services and data are provided by their respective owners and may be subject to their own terms. OnlyTrade does not generate market prices and does not guarantee the accuracy, completeness, timeliness, or availability of any third-party data or service, and is not liable for them to the extent permitted by law.

10Intellectual Property

All intellectual property rights in and to the Website, the Platform, and the Content — including software, source code, interfaces, designs, the OnlyTrade name and logo, and any proprietary risk-management technology — are and remain owned by OnlyTrade or its licensors. No rights are granted to you except as expressly set out in these Terms or in a Commercial Agreement.

You may not remove or alter any proprietary notices, and you may not use the OnlyTrade name, trademarks, or branding without our prior written consent. Any rights granted terminate on termination of these Terms or the relevant Commercial Agreement. This section survives termination.

11Data Protection

Our processing of personal data in connection with the Website and Platform is described in our Privacy Policy [link] and Cookie Notice [link]. Where OnlyTrade processes personal data of an Operator's End Traders on the Operator's behalf, OnlyTrade acts as a data processor under a data processing agreement that meets the requirements of Article 28 of the GDPR, and the Operator acts as data controller. Both parties shall comply with applicable data protection law, including Regulation (EU) 2016/679 (GDPR) and Cyprus Law 125(I)/2018.

12Disclaimer of Warranties

The Website and Platform are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, OnlyTrade disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website or Platform will be uninterrupted, timely, secure, or error-free, or that any data transmitted will be accurate or complete. You assume all risk arising from your use of the Website and Platform to the extent permitted by law.

13Limitation of Liability

To the maximum extent permitted by law, OnlyTrade and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or in connection with your use of (or inability to use) the Website or Platform, regardless of the legal theory and even if advised of the possibility of such damages.

OnlyTrade shall have no liability for any trading decision, financial loss, or regulatory matter relating to an Operator or an End Trader, nor for the acts or omissions of any Operator, End Trader, or third-party provider. Any aggregate liability of OnlyTrade in connection with the Website is limited as set out in the applicable Commercial Agreement or, where none applies, to [€100 / amount to confirm with counsel]. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including for fraud or for death or personal injury caused by negligence.

14Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless OnlyTrade and its affiliates from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or in connection with (a) your breach of these Terms, (b) your violation of any applicable law or regulation, or (c) your misuse of the Website or Platform.

15Term, Suspension & Changes

These Terms apply while you access or use the Website or Platform. We may suspend, restrict, modify, or discontinue all or part of the Website or Platform at any time, including for maintenance, security, or operational reasons, without liability to the extent permitted by law. We may update these Terms from time to time; the current version will be posted on this page with an updated date. Where changes are material, we will take reasonable steps to provide notice. Continued use after changes take effect constitutes acceptance.

16Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of the Republic of Cyprus. The parties shall attempt to resolve any dispute amicably; failing that, the courts of Cyprus shall have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply.

17Miscellaneous

Assignment

We may assign or transfer our rights and obligations under these Terms to an affiliate or successor. You may not assign or transfer your rights or obligations without our prior written consent.

Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.

No waiver

A failure or delay in exercising any right is not a waiver of that right.

Entire agreement

These Terms, together with the Privacy Policy, Cookie Notice, and any applicable Commercial Agreement, constitute the entire agreement between you and OnlyTrade regarding the Website and Platform.

Language

These Terms are drafted in English. If translated, the English version prevails to the extent permitted by law.

Third parties

No person other than you and OnlyTrade has any right to enforce these Terms, except that our affiliates may rely on the liability and indemnity provisions.
